Supplier Terms & Conditions
2.1 Introduction
The following practices must be adopted by all Danatrol Limited suppliers/sub-contractors. Should deviation be necessary where not authorised in purchase orders, then authorisation must be sought in writing from a Danatrol Limited Director. It is the intention of Danatrol Limited to audit all key suppliers on an annual basis against the requirements detailed in this procedure; However, this is at the discretion of the Directors and will be based upon supplier performance. Whilst not mandating external certification to ISO 9001, Danatrol Limited requires all its suppliers to conform fully to this standard’s requirements. Additional requirements to those stated in this contract may also be identified on individual purchase orders. Purchase order requirements will supersede details in this contract. It will be the supplier’s responsibility to identify the necessary requirements applicable to each job. Specific customer requirements not covered by this procedure and including the requirement to use customer approved special processes, will be flowed down via purchase orders.
2.2 Use of Sub – Contractors
Suppliers shall under no circumstances sub-contract work without written authorisation from Danatrol Limited.
2.3 Control of Quality Records
As a minimum the records invoked by ISO 9001 shall be retained by suppliers and sub-tiers. Records must be stored in such a manner so as to prevent damage and enable quick retrieval. Where records are stored electronically a system must be implemented to periodically verify the integrity of such records. As a minimum, all records must be held for 10 years. Prior to disposal, approval from Danatrol Limited must be sought.
2.4 Rights of Access
All suppliers to Danatrol Limited (and any sub-tiers) must provide right of access to the organisation, their customer, and regulatory authorities, to the applicable areas of all facilities, at any level of the supply chain, involved in the order and to all applicable records.

2.5 Control of Non-Conformance
In the event that a supplier identifies that a non-conforming product may have been delivered to Danatrol Limited then in the first instance, a Danatrol Limited Director must be contacted. Relevant part numbers, order numbers, batch numbers and quantities along with description of suspected problem must be made available as soon as known
In the first instance, should either product or process non-conformity be suspected by a supplier then production must be immediately halted pending investigation.
If prior to despatch to Danatrol Limited, non-conforming product or process occurs, Danatrol Limited’s Quality Department must be contacted if:
Product is being manufactured to Danatrol Limited design and rework back to original standard or replacement, is not possible without affecting delivery requirements.
Any form of deviation from design or authorised process is required. In this case concession or production permit must be sought from Danatrol Limited prior to shipment.
Any reporting and quarantining of suspected or detected counterfeit parts.
2.6 Inspection Requirements
Sample inspection processes can be adopted by suppliers but must be agreed in advance with Danatrol Limited. Sample plans must always be statistically valid. This shall be achieved by using BS 6001 or an equivalent standard. An AQL of 1.5 must be employed. Danatrol Limited or Danatrol Limited’s customer (this shall include appropriate Regulatory Authorities) shall be afforded the right to inspect at supplier’s premises that subcontracted products conform to specified requirements. All measuring and test equipment shall be clearly identified and be in accordance with calibration requirements. A record of inspection equipment used for individual jobs must be detailed on the inspection record.

2.7 First Article Inspection Reports
Unless otherwise agreed, suppliers must submit First Article Inspection Reports to Danatrol Limited under the following circumstances:
At the end of the first production run of a new part
After form, fit or function change of an existing part
When a significant process change has occurred
The format for First Article Inspection Reports is at the discretion of the supplier; However, guidance can be obtained from the international specification AS9102.
2.8 Configuration Control
It is the responsibility of suppliers to ensure that they are working to the revision of the drawing/specification supplied by Danatrol Limited during the manufacture/processing/supply of components and/or assemblies as specified on the purchase order.
2.9 Raw Material
When a supplier procures raw material on behalf of Danatrol Limited then processes must be established to:
Periodically verify a sample of test certificates against applicable specifications.
Periodically validate a sample of raw materials against test certificates by an appropriate form of analysis
2.10 Traceability
Unless otherwise identified in relevant purchase orders, suppliers must maintain full component and material batch traceability. Where more than one material batch is used or free issued, parts must be segregated and identifiable to certification, internal processing and delivery documentation. Certification is required for each material batch. All materials identified with batch or lot numbers must have the number/s and associated quantity recorded on despatch documentation. The documentation shall list a separate line item for each different batch/lot number.

2.11 Release Requirements
Unless otherwise stated, a Certificate of Conformity must accompany all deliveries to Danatrol Limited.
Where the supplier has procured raw material on behalf of Danatrol Limited then release shall be accompanied by Certificates of Analysis from the raw material manufacturer.
2.12 Awareness
The supplier shall ensure that the persons performing activities related to Danatrol Limited purchase orders are aware of their contribution to product or service conformity, product safety and relevant ethical behaviour.
2.13 Anti-Corruption and Anti-Bribery
Suppliers shall comply with all applicable anti-corruption and anti-bribery laws and regulations, including but not limited to the UK Bribery Act 2010. Suppliers must not directly or indirectly, offer, give, request, or accept any bribe, facilitation payment, kickback, or other improper advantage in relation to any Danatrol Limited business activity.
Suppliers must maintain adequate procedures to prevent bribery and corruption within their organisation and supply chain. Any suspected or actual breach must be reported to Danatrol Limited immediately. Danatrol Limited reserve the right to terminate any agreement with suppliers found to be in breach of this requirement.
2.14 Modern Slavery and Human Rights
Suppliers shall ensure full compliance with the UK Modern Slavery Act 2015 and all applicable human-rights legislation. Suppliers must not engage in, or knowingly permit, the use of forced labour, child labour, human trafficking, or any form of exploitation with their operations or supply chain. Suppliers shall maintain appropriate due diligence processes and must notify Danatrol Limited immediately of any suspected or confirmed breach.

2.15 Confidentiality and Intellectual Property
All information, drawings, specifications, data, and intellectual property provided by Danatrol Limited shall be treated as strictly confidential and used solely for the fulfilment of Danatrol Limited purchase orders. Suppliers shall not disclose such information to third parties without prior written approval from a Danatrol Limited Director. All intellectual property rights remain the property of Danatrol Limited unless otherwise agreed in writing.
2.16 Cybersecurity and Data Protection
Suppliers shall implement appropriate technical and organisational measures to protect Danatrol Limited information from unauthorised access, loss, alternation, or disclosure. Where personal data is processed, suppliers must comply with the UK general Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Any actual or suspected data breach affecting Danatrol Limited information must be reported immediately.
2.17 Counterfeit Parts Prevention
Suppliers shall establish and maintain a counterfeit-parts prevention process to ensure that no counterfeit, suspect, or unapproved parts enter the supply chain. Any suspected counterfeit parts must be quartined and reported to Danatrol Limited without delay. Suppliers must ensure that all applicable requirements are flowed down to sub-tier suppliers.
2.18 Health and Safety Compliance
Supplies shall comply with all applicable health and safety legislation, including the Health and Safety at Work Act 1974. Suppliers must ensure safe handling, storage, and transportation of materials, including hazardous substances, and must report any incident that could affect product conformity or safety.

2.19 Environmental Requirements
The supplier shall comply will all applicable environmental legislation, regulations, and any additional environmental requirements specified by Danatrol Limited. Suppliers must operate in a manner that minimises environmental impact, including responsible use of resources, prevention of pollution, and effective waste management.
Suppliers shall support Danatrol Limited’s commitment to continual environmental improvement by:
Ensuring environmentally responsible practices in the provision of goods and services.
Maintaining any environmental approvals, permits, or licences relevant o their operations.
Notifying Danatrol Limited promptly of any environmental incidents, breaches, or risks that may affect supplied products, services, or the widder supply chain.
Ensuring that sub-contractors (where authorised) also comply with these environmental requirements.
2. 20 Termination Rights
Danatrol Limited reserves the right to suspend or terminate the supplier’s relationship in the event of:
Breach of this supplier contract
Repeated quality or delivery failures
Ethical, legal, or regulatory violations
Failure to implement corrective actions within agreed timeframes.
